Terms of Service

These Terms of Service (“Terms”) govern your access to and use of CodeCortex Chat(“the Service”), operated by CodeCortex at https://codecortex.co. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Eligibility
You must be at least 13 years old (or the minimum age required to consent to data processing in your jurisdiction) to use the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Description of Service
The Service is a web-based chat interface that forwards your text prompts to the OpenRouter API and streams the model's responses back to your browser. Conversations are stored locally in your browser's localStorage. The Service does not require an account.
3. Acceptable Use
You agree that you will not:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Submit content that is illegal, infringing, defamatory, harassing, hateful, or that promotes violence or self-harm.
- Generate malware, exploits, or instructions for cyberattacks against specific targets.
- Attempt to extract, reverse-engineer, or otherwise compromise the OpenRouter API key or the Service's backend infrastructure.
- Bypass, disable, or otherwise circumvent rate limits, security features, or access controls.
- Use automated scripts (bots, scrapers) to send requests at a volume that degrades the Service for others.
- Reproduce, redistribute, or resell the Service's output in a way that competes with the Service.
4. AI-Generated Content
Responses produced by the Service are generated by a third-party language model served via OpenRouter (currently the deepseek/deepseek-v4-flash:free model) and may be inaccurate, biased, outdated, or otherwise unreliable. You are solely responsible for evaluating and verifying any output before relying on it. The Service is provided for informational and productivity purposes only and is not a substitute for professional advice (medical, legal, financial, or otherwise).
5. Intellectual Property
You retain ownership of the prompts you submit. To the extent the model generates output that is eligible for intellectual property protection, you may use such output subject to OpenRouter's terms of use. The Service's source code, design, branding, and documentation are the property of CodeCortex and are licensed to you under the MIT open-source license where applicable.
6. Privacy
Your use of the Service is also governed by our Privacy Policyand Cookie Policy, which are incorporated into these Terms by reference.
7. Disclaimers
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any output will be accurate. See our Disclaimer page for additional details.
8. Limitation of Liability
To the fullest extent permitted by law, in no event shall CodeCortex be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising out of or related to your use of the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages. Aggregate liability shall not exceed USD $50.
9. Indemnification
You agree to indemnify and hold harmless CodeCortex and its operators from any claim, demand, or damage (including reasonable attorneys' fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right.
10. Rate Limits & Fair Use
To keep the Service sustainable on free-tier infrastructure, we apply a per-IP rate limit (configurable; default 20 requests per minute). We reserve the right to throttle, suspend, or terminate access for users who exceed these limits or who otherwise abuse the Service.
11. Modifications to the Service & Terms
We may modify or discontinue the Service, in whole or in part, at any time without notice. We may also revise these Terms; continued use of the Service after revisions become effective constitutes acceptance of the updated Terms.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without cause, and without notice.
13. Governing Law
These Terms are governed by the laws of Japan, without regard to its conflict-of-law principles. Disputes shall be submitted to the exclusive jurisdiction of the Tokyo District Court. If any provision is held unenforceable, the remaining provisions remain in full force.
